NowDealSheet Ltd (the "Platform") is a private, membership-based introduction platform for off-market commercial real estate.

The Platform's sole function is to introduce a verified seller (or their authorised representative) to a verified buyer (or their authorised representative), after both parties have been reviewed by a NowDealSheet administrator and the buyer has electronically signed the NowDealSheet Standard NDA in relation to the specific deal.

The introduction is the whole product. Everything the Platform does — anonymised listings, AI-assisted intake, human review, NDA gating, audit trails — exists solely to make that introduction credible and safe.

NowDealSheet is not a real estate broker, estate agent, sales agent, buyer's agent or letting agent.

NowDealSheet is not a financial adviser, tax adviser, legal adviser or investment adviser.

NowDealSheet is not a transaction manager, deal coordinator, escrow agent or client-money handler.

NowDealSheet is not a party to any transaction that may result from an introduction made on the Platform.

NowDealSheet does not verify, endorse or warrant the accuracy, completeness or merit of any information supplied by a seller. Buyers must conduct their own independent due diligence.

A seller creates an anonymised listing and submits it for administrator review. The Platform draws AI assistance from the seller's own information memorandum to produce a draft — a human administrator reviews and approves before publication.

A buyer registers, provides identifying information and requests access. The administrator reviews the buyer's application before permitting NDA-gated introductions.

When a buyer wishes to be introduced to the seller of a specific deal, they electronically sign the NowDealSheet Standard NDA. The signature, typed name, timestamp, IP address and user-agent are recorded as an immutable audit entry.

The administrator reviews the signed NDA and, if the buyer meets the criteria set by the seller (if any), approves the introduction. At that point — and only at that point — the buyer sees the full identity of the seller and the confidential deal information, and the seller sees the identity of the buyer.

From the moment of introduction, all negotiation, diligence, contracting, exchange and completion occur directly between the buyer and the seller (and their own professional advisers). The Platform's involvement ends at the introduction.

During the current pilot, the Platform is free for both sellers and buyers.

NowDealSheet does not lock into any single commercial model. In future the Platform may operate one or more commercial options — for example buyer memberships, buyer deal-access packs, seller premium services, priority listing options, enhanced verification services, or agreed introduction fees on specific deals disclosed in advance to the parties involved.

Any commercial option that is introduced will be published on the Platform's Pricing page in advance and, where relevant, accepted expressly by the relevant party. Existing users will not be charged retrospectively for access they have already enjoyed under a prior commercial state.

NowDealSheet does not hold, transmit, escrow, invest or otherwise handle any funds passing between introduced parties in relation to a transaction between them. Any fees payable to NowDealSheet Ltd are payable directly to NowDealSheet Ltd for access to, or use of, the Platform's introduction service — they are collected by NowDealSheet Ltd, not by any counterparty on a transaction.

Every buyer must electronically sign the NowDealSheet Standard NDA before being introduced to a seller. The NDA is between the buyer, the seller and NowDealSheet Ltd as facilitator.

The NDA obliges the buyer to treat information disclosed after the introduction as strictly confidential and to use it solely for the purpose of evaluating the deal.

NowDealSheet Ltd itself is bound by equivalent confidentiality duties: we will not disclose the identity of any buyer or seller, nor the confidential terms of any deal, to any third party save as required by law.

In future, sellers may be permitted to substitute their own bespoke NDA in place of the Standard NDA. When that option is offered, the same signature, timestamp and audit requirements will apply.

NowDealSheet verifies the identity of sellers and buyers to a standard appropriate for an introduction platform. Verification is conducted with a combination of AI-assisted research and human administrator judgement.

Where public data sources are available — Companies House in the United Kingdom is one example — the Platform may consult them as part of verification. Where such sources are limited or unreliable, the Platform relies on AI-assisted research of publicly available information (company records, official websites, domain registration, public professional profiles) supplemented by human review.

Verification confirms identity and reasonable good standing only. It does not constitute an endorsement of the deal, its economics, or the counterparty's suitability for any particular buyer or seller. Independent due diligence remains the responsibility of each party.

NowDealSheet operates internationally. Listings may originate from, or be directed towards, jurisdictions in which our members are active. Users are responsible for ensuring compliance with the laws and regulations applicable in their own jurisdiction.

The Platform is operated by NowDealSheet and is governed by the laws of England & Wales. Any dispute concerning the operation of the Platform will be subject to the exclusive jurisdiction of the courts of England & Wales.

Any dispute arising between introduced parties in relation to a transaction is a matter for those parties and their advisers, not for NowDealSheet.
